BY CLICKING "I AGREE" OR BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE. --------------------------------------------------------------------------- 1. LICENSE GRANT Subject to the terms of this Agreement, The File Share Place grants you a non-exclusive, non-transferable, limited license to install and use the Software solely for your personal or internal business purposes. --------------------------------------------------------------------------- 2. RESTRICTIONS You may not: (a) Distribute, sell, sublicense, rent, or transfer the Software or any copy thereof to any third party; (b) Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software; (c) Modify, adapt, translate, or create derivative works based on the Software; (d) Use the Software for any unlawful purpose or in violation of any applicable laws or regulations; (e) Remove or alter any proprietary notices, labels, or marks on the Software. --------------------------------------------------------------------------- 3. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE FILE SHARE PLACE TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY, OR ONE UNITED STATES DOLLAR (USD $1.00), WHICHEVER IS GREATER. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU IN FULL. --------------------------------------------------------------------------- 5. DATA AND PRIVACY The Software facilitates the transfer and storage of files to third-party storage services (such as Amazon S3 or compatible object storage services) that you configure and control. You are solely responsible for: (a) The content of any files you transfer or store using the Software; (b) Ensuring your use complies with all applicable privacy, data protection, and export control laws and regulations; (c) The security configuration, access controls, and credentials of any third-party storage services you configure; (d) Any costs, charges, or fees incurred from third-party storage providers as a result of your use of the Software. THE SOFTWARE IS DESIGNED AS A FILE SENDING TOOL, NOT A BACKUP OR ARCHIVAL SERVICE. All storage facilitated by this Software- whether via the Community Bucket or your own Private Bucket- should be considered ephemeral and temporary in nature. Files may be deleted automatically upon expiry, manually by recipients or yourself, or as a result of service disruption, provider failure, or bucket compromise. YOU MUST NOT TREAT FILES STORED THROUGH THIS SOFTWARE AS YOUR ONLY COPY. You are solely responsible for maintaining independent, durable backups of any data you consider important. The File Share Place accepts no liability for any loss of data arising from your reliance on this Software as a primary or sole storage location. WHILE THE FILE SHARE PLACE MAY TECHNICALLY HAVE THE ABILITY TO ACCESS INFRASTRUCTURE THROUGH WHICH FILES PASS, THE FILE SHARE PLACE WILL NOT ACCESS, MONITOR, OR REVIEW YOUR FILES, AND ACCEPTS NO RESPONSIBILITY FOR FILES TRANSFERRED OR STORED THROUGH YOUR USE OF THE SOFTWARE. YOU UPLOAD AND SHARE FILES ENTIRELY AT YOUR OWN RISK. THE FILE SHARE PLACE DOES NOT SCAN, VERIFY, MODERATE, OR TAKE ANY RESPONSIBILITY FOR THE CONTENT OF FILES TRANSFERRED THROUGH THE SERVICE. FILES ARE TRANSMITTED DIRECTLY BETWEEN THE SENDER'S STORAGE AND THE RECIPIENT'S DEVICE WITHOUT INSPECTION BY THE FILE SHARE PLACE. ANY DAMAGE TO SYSTEMS, DATA, DEVICES, OR THIRD PARTIES RESULTING FROM FILES DOWNLOADED THROUGH THIS SERVICE IS THE SOLE RESPONSIBILITY OF THE SENDER AND/OR RECIPIENT. RECIPIENTS WHO WERE NOT EXPECTING A FILE TRANSFER ARE STRONGLY ADVISED NOT TO DOWNLOAD OR OPEN THE FILES. --------------------------------------------------------------------------- 6. BRING YOUR OWN BUCKET- CREDENTIAL STORAGE AND SECURITY RISK To use the Software with your own S3-compatible storage ("Private Bucket"), you must provide storage credentials such as access key IDs, secret access keys, and endpoint URLs ("Credentials"). The Software stores these Credentials in an encrypted local database on your device. By providing Credentials to the Software, you expressly acknowledge and agree to the following: (a) ENCRYPTED BUT NOT INFALLIBLE. The Software encrypts your Credentials at rest using available encryption mechanisms. However, encryption does not guarantee absolute security. The File Share Place makes no warranty that your Credentials are fully protected against all threats, including but not limited to malware, keyloggers, memory inspection, side-channel attacks, physical device compromise, or vulnerabilities in third-party cryptographic libraries. You assume all risk associated with storing Credentials on your device. (b) NO LIABILITY FOR CREDENTIAL COMPROMISE. If your Credentials are accessed, exfiltrated, stolen, or otherwise compromised- whether through a weakness in the Software, the local database, the underlying operating system, your device, or any other means- The File Share Place shall not be liable for any resulting damages, including but not limited to unauthorized access to your storage bucket, deletion or corruption of your data, or charges incurred from your storage provider due to unauthorized usage. (c) LEAST-PRIVILEGE CREDENTIALS RECOMMENDED. You are strongly advised to provide Credentials scoped to the minimum permissions required by the Software (e.g., a dedicated IAM user or role with access limited to only the specific bucket(s) used with this application). Do not provide root account credentials, admin-level keys, or Credentials with broader permissions than necessary. (d) YOUR BUCKET, YOUR RESPONSIBILITY. You are solely responsible for the security configuration of your Private Bucket, including access policies, bucket permissions, versioning, replication, public access settings, and any other controls offered by your storage provider. The File Share Place has no visibility into or control over your bucket configuration and accepts no responsibility for data exposure arising from misconfiguration on your part or your provider's part. (e) REVOKE IF COMPROMISED. If you suspect your Credentials have been compromised, you are solely responsible for immediately revoking or rotating them via your storage provider's console. The File Share Place cannot revoke, disable, or otherwise invalidate your Credentials on your behalf. (f) CHARGES AND COSTS. Any charges, fees, or costs incurred from your storage provider- including charges resulting from unauthorized use of compromised Credentials- are solely your responsibility. The File Share Place shall have no liability for such charges under any circumstances. (g) SERVER-SIDE CREDENTIAL STORAGE. In addition to local device storage, the Software may transmit and store certain Credentials or derivative information (such as access tokens, bucket references, or endpoint configurations) on The File Share Place's servers in order to facilitate signed url generation, timed file deletion, or other service features. You expressly acknowledge and agree that: • Server infrastructure is secured using industry-standard practices on a best-effort basis, but The File Share Place makes no warranty of absolute security against unauthorized access, breach, server compromise, insider threat, infrastructure attack, or third-party provider failure; • In the event of a server-side security incident- including but not limited to unauthorized access to The File Share Place's databases, hosting infrastructure, or cloud provider accounts- The File Share Place shall not be liable for any resulting compromise of your Credentials or any damages flowing therefrom; • You should treat any Credentials provided to the Software as potentially exposed to the risks inherent in server-side storage, and you are solely responsible for monitoring your storage provider account for unauthorized activity and revoking or rotating Credentials at your discretion; • The File Share Place will not sell, intentionally share, or knowingly misuse your Credentials, but cannot guarantee that server-side Credentials will never be accessed by unauthorized parties despite reasonable precautions. BY PROVIDING CREDENTIALS TO THE SOFTWARE, YOU ACCEPT FULL RESPONSIBILITY FOR ALL RISKS ASSOCIATED WITH THEIR STORAGE- BOTH ON YOUR LOCAL DEVICE AND ON THE FILE SHARE PLACE'S SERVERS- AND THEIR POTENTIAL COMPROMISE. --------------------------------------------------------------------------- 7. COMMUNITY BUCKET- SHARED STORAGE SERVICE The File Share Place may offer access to a shared, operator-provided storage bucket ("Community Bucket") as a convenience feature. USE OF THE COMMUNITY BUCKET IS ENTIRELY AT YOUR OWN RISK. By using the Community Bucket, you expressly acknowledge and agree to the following: (a) NO SECURITY GUARANTEE. The Community Bucket is operated on a best-effort basis. The File Share Place makes no representation or warranty that the Community Bucket is secure, private, or protected against unauthorized access, data breaches, hacking, exfiltration, corruption, or loss. Security incidents may occur despite reasonable precautions, and The File Share Place shall bear no liability for any such incident. (b) NO SENSITIVE CONTENT. You must not upload, store, or transmit through the Community Bucket any of the following: • Personally identifiable information (PII) such as government IDs, Social Security numbers, passport details, or financial account information; • Protected health information (PHI) or any data regulated under HIPAA or equivalent health privacy laws; • Payment card data, banking credentials, or other financial records; • Passwords, private keys, API secrets, or authentication tokens; • Confidential business information, trade secrets, or proprietary data; • Any data whose unauthorized disclosure would cause you material harm or expose you or others to legal liability. YOU UPLOAD SENSITIVE CONTENT TO THE COMMUNITY BUCKET ENTIRELY AT YOUR OWN RISK AND AGAINST THIS AGREEMENT'S EXPLICIT ADVICE. (c) NO LIABILITY FOR COMPROMISE. In the event the Community Bucket is compromised, breached, hacked, or otherwise accessed by unauthorized parties- whether through attack, misconfiguration, insider threat, or any other means- The File Share Place shall not be liable for any resulting damages, losses, costs, or claims of any kind, including but not limited to damages arising from the exposure or misuse of your files or data. (d) NO EXPECTATION OF PRIVACY. Files stored in the Community Bucket may be accessible to others sharing the same storage resource, and The File Share Place cannot guarantee the confidentiality of your files. Do not use the Community Bucket for any content you consider private or confidential. (e) CONTENT RESPONSIBILITY. You remain solely responsible for all content you upload to the Community Bucket. You represent and warrant that your content does not violate any applicable law, infringe any third- party rights, or constitute abusive, illegal, or harmful material. The File Share Place reserves the right to remove content from the Community Bucket at any time and for any reason without notice. (f) SERVICE AVAILABILITY. The Community Bucket may be discontinued, modified, rate-limited, or made unavailable at any time without notice. The File Share Place makes no commitment to its continued availability. IF YOU REQUIRE SECURE, PRIVATE, OR REGULATED STORAGE, YOU MUST USE YOUR OWN PRIVATE S3-COMPATIBLE BUCKET AND NOT THE COMMUNITY BUCKET. --------------------------------------------------------------------------- 8. INDEMNIFICATION You agree to indemnify, defend, and hold harmless The File Share Place and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Software; (b) your violation of this Agreement; (c) your violation of any rights of any third party; or (d) any content you transfer or share using the Software, including via the Community Bucket. --------------------------------------------------------------------------- 9. INTELLECTUAL PROPERTY The Software and all copies thereof are proprietary to The File Share Place, and title thereto remains in The File Share Place at all times. All intellectual property rights in and to the Software, including but not limited to copyrights, trademarks, trade secrets, and patents, are and shall remain the exclusive property of The File Share Place. No rights in the Software are granted to you except as expressly set forth in this Agreement. --------------------------------------------------------------------------- 10. TERMINATION This Agreement is effective until terminated. It will terminate automatically and without notice if you fail to comply with any term or condition of this Agreement. Upon termination for any reason, you must immediately destroy all copies of the Software in your possession or control. Sections 3, 4, 6, 7, and 9 shall survive termination of this Agreement. --------------------------------------------------------------------------- 11. UPDATES AND CHANGES The File Share Place reserves the right to modify this Agreement at any time. Continued use of the Software following notification of any changes constitutes your acceptance of the revised Agreement. It is your responsibility to review this Agreement periodically. --------------------------------------------------------------------------- 12. GOVERNING LAW AND DISPUTE RESOLUTION This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction. --------------------------------------------------------------------------- 13. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between you and The File Share Place with respect to the Software and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the Software. --------------------------------------------------------------------------- 14. SEVERABILITY If any provision of this Agreement is held by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. --------------------------------------------------------------------------- 15.
